Terms of Service

Effective date: October 31, 2026

Last updated: October 31, 2026

These Terms of Service ("Terms") are an agreement between you and OpsHarbor ("we", "us"), 1020 West Heritage Club Circle, Delray Beach, FL 33483. They cover the website at opsharbor.io, the account app, and the hosted AI companies we run for you (together, the "Service").

If you accept these Terms for a business, you confirm you can bind it, and "you" means that business. If you don't agree, don't use the Service. Our Privacy Policy and Acceptable Use Policy are part of these Terms.

1. What OpsHarbor does

  • A hosted AI company. OpsHarbor runs a private workspace (an "AI company") where you set up AI agents, give them goals, tasks and budgets, and approve the big decisions from one dashboard.
  • Your own space. Each AI company runs in its own isolated environment. Other customers can't see it.
  • Agents are software. The agents are AI programs, not people. They make mistakes. You decide what they can do and you review their work.
  • Plans. Solo is one AI company for your own business. Agency is an agency account with one AI company per client. Each plan has limits (for example, number of agents and client workspaces), shown at checkout and in your account.

2. Who can use it

  • The Service is for businesses and professionals, not for personal or household use. You must be at least 18.
  • Give accurate account and billing details and keep them current.
  • You're responsible for everything done in your account, by you, by people you invite, and by the agents you set up. Keep logins secure and tell us at [email protected] if you think your account was compromised.

3. Beta and invite-only access

  • While OpsHarbor is in beta, sign-up is by invite only. Beta users may get the Service free for the beta period, as stated in their invite.
  • Beta features may change, break, or be removed. We may end the beta at any time. Before a free beta account starts paying, we'll tell you the price and get your agreement at checkout. Nothing is charged automatically when the beta ends.

4. Your AI provider key

  • You bring your own key. Agents run on an AI model account you connect (today, Anthropic). Your use of that account is under your own agreement with the provider, including its usage policy, and the provider bills you directly. We don't charge for AI usage and we aren't responsible for your provider's charges, including charges caused by agents you set up.
  • Where your content goes. When an agent runs, the content it works on is sent from your AI company to your provider using your key, at your direction. The provider's terms and privacy policy cover how it handles that data.
  • How we store keys. We check a key with the provider when you add it, store it encrypted, and never show it again in full. Only your own AI company uses it.
  • Budgets and approvals help, but they're yours to set. We give you budgets and approval rules to control spend and actions. You're responsible for setting them and for watching what your agents do. We don't promise a budget will stop every charge.
  • If your provider limits or suspends your account, your agents may stop. That isn't a failure of the Service.

5. Your content and what your agents do

  • You own your content. "Customer Content" means everything you or your agents put into or create in your AI company: instructions, tasks, documents, files, and outputs. As between you and us, it's yours.
  • What we may do with it. You give us permission to host, store, copy, back up, transmit and display Customer Content only to run, secure and support the Service for you, and when the law requires. We don't sell it and we don't use it to train AI models.
  • We stay out unless you ask. Our staff don't look inside your AI company except when you open a support request that needs it (limited to that request), when needed to protect the Service or investigate a breach of these Terms, or when the law requires.
  • You're responsible for your agents. Agents can write content, run programs inside your AI company, and contact outside services with credentials you give them. What your agents do counts as what you do. You must have the rights to what you give them and follow the laws that apply to how you use them (for example, marketing, privacy, and telling people they're talking to AI).
  • Check the output. AI output can be wrong, incomplete or out of date. Check it before you rely on it, especially for legal, financial, medical, employment or other important decisions. It isn't professional advice.

6. Agency accounts

  • If you use the Agency plan to run AI companies for your clients, you are our customer, not your clients. You're responsible for having the right to put your clients' data into the Service, for getting any consents and giving any notices the law requires, and for your own agreements with your clients.
  • You control which of your team members can see each client workspace. We keep client workspaces separate from each other and from other customers.
  • For personal data in your clients' workspaces, we act as your service provider (processor) under section 11.

7. Prices, billing and renewal

  • Prices are shown at checkout before you pay. Payments are processed by Stripe; we never see or store your full card number.
  • Automatic monthly renewal. Paid plans renew every month and your card is charged at the start of each month until you cancel. Checkout shows the price, when you'll be charged, and how to cancel, and asks you to agree before we charge you.
  • Agency billing. The Agency plan is a base price plus a price per client workspace. Adding or removing a client workspace changes the next bill, prorated for the rest of the month.
  • Cancel online anytime. Cancel from the billing page in your account, in a few clicks. Cancellation takes effect at the end of the month you've paid for; you keep full access until then.
  • Free or discounted trials. If we offer a trial, checkout will show when it ends and what you'll pay after. We'll email you a reminder at least 3 days (and no more than 21 days) before a trial converts to a paid plan.
  • Upgrades apply right away, prorated. Downgrades apply at the next billing date. A downgrade never deletes data; anything over the new plan's limits stays readable but you can't add more until you're under the limit.
  • Refunds. Payments aren't refundable, including for part of a month, except where the law requires a refund or where we end the Service as described in section 12.
  • Taxes. Prices don't include sales tax, VAT or similar taxes. Where we must collect tax, it's added at checkout and shown on your invoice.
  • Price changes. We'll email you at least 30 days before a price change. It applies from your next billing date after that. If you don't agree, cancel before it takes effect.

8. Founding, waitlist and referral offers

  • Founding members get 50% off for the first 12 months and then 20% off for as long as they stay subscribed. There are 50 founding spots in total, across both plans.
  • Waitlist offers (for example, 25% off for the first 12 months) apply only if you subscribe within the time stated in your invite, usually 14 days.
  • Discounts last only while you're subscribed. If you cancel, the discount ends and doesn't come back if you subscribe again.
  • Referral rewards are product perks, never cash. They move you up the waitlist, guarantee an earlier invite, or give you one of the 50 founding spots while they last (25% off your first year once they are gone), as described in our FAQ under "How does the share link work?" and shown after you join the waitlist. Only real people who confirm their email count. We may withhold rewards for fake, duplicate or automated sign-ups.
  • We may change or end these offers for new sign-ups at any time. A discount you've already received stays as promised while you're subscribed.

9. If a payment fails

  • We and Stripe retry the payment and email you. You keep full access for 7 days.
  • After 7 days unpaid, your account becomes read-only: agents pause, but you can still sign in, see everything, and export it.
  • A failed payment never deletes your data. Paying the amount due restores full access.

10. Your data when you leave

  • Export your AI company data with the tools in your account, while it's active or read-only.
  • After you cancel or stop paying, we keep your data for 12 months so you can come back. We'll email you at least 30 days before we delete it.
  • Delete sooner on request. Ask us and we'll delete your AI company data within 30 days.
  • Backups are encrypted and expire on a rolling schedule. Deleted data leaves our backups within about 35 days and is only ever restored to recover from an incident.
  • We keep billing and tax records as long as the law requires, as described in the Privacy Policy.

11. Personal data we process for you

When Customer Content includes personal data about other people (for example, your customers or your clients' customers), you decide how it's used and we process it only to provide the Service to you. We will: use it only on your instructions as set out in these Terms; keep it confidential and limit staff access; protect it with the security in section 13; use only the subprocessors listed in the Privacy Policy and tell you before we add new ones; help you answer requests from the people the data is about; tell you without undue delay if we learn of a breach affecting it; and delete it as described in section 10. These terms work as our data processing terms. If your business needs a signed data processing agreement, contact us.

12. Suspension and ending

  • You can cancel anytime (section 7).
  • We may suspend or close your account if you don't pay (section 9), if you or your agents break these Terms or the Acceptable Use Policy, if your use puts the Service, other customers or anyone else at risk, or if the law requires. If the risk is urgent (for example, an agent sending spam or attacking another system), we may pause first and tell you right after. Otherwise we'll tell you first and give you a reasonable chance to fix it.
  • If we stop offering the Service, we'll give at least 30 days' notice, a way to export your data, and a refund of any prepaid amount for time after the end date.

13. Security

We protect the Service with measures including a separate, isolated environment for each AI company, resource limits per customer, encrypted storage of AI keys, encrypted backups, HTTPS everywhere, and payment cards handled only by Stripe. No system is perfectly secure. If we learn of a breach affecting your data, we'll tell you without undue delay and as the law requires.

14. What we own

We own the Service, the website, our templates, and the OpsHarbor name and logo. OpsHarbor is built on open-source technology. Open-source parts are licensed under their own terms, and nothing here limits your rights under those licenses. Templates become yours to change once you import them. If you send us ideas or feedback, we may use them freely.

15. Copyright complaints

If you believe something in the Service infringes your copyright, send a notice to our designated agent at [email protected] with the details the Digital Millennium Copyright Act requires (17 U.S.C. 512(c)(3)). We remove infringing material we're told about, and we close the accounts of repeat infringers.

16. No warranties

THE SERVICE, TEMPLATES AND ALL AI OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT THE LAW ALLOWS, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DON'T PROMISE THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT AI OUTPUT WILL BE ACCURATE, OR THAT YOU'LL GET ANY BUSINESS RESULT.

17. Limits on liability

TO THE FULLEST EXTENT THE LAW ALLOWS: (A) NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE OR DATA; AND (B) EACH PARTY'S TOTAL LIABILITY UNDER THESE TERMS IS LIMITED TO THE GREATER OF THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE OR US $100. WE AREN'T LIABLE FOR YOUR AI PROVIDER'S CHARGES OR FOR ACTIONS YOUR AGENTS TAKE. THESE LIMITS DON'T APPLY TO YOUR PAYMENT OBLIGATIONS OR YOUR DUTIES UNDER SECTION 18.

18. Your responsibility for claims

You'll defend us and cover our reasonable costs against claims by others that come from your Customer Content, your agents' actions, your use of your AI provider or other connected services, your clients (on the Agency plan), or your breach of these Terms or the Acceptable Use Policy.

19. Disputes

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-law rules. Any dispute goes to the state or federal courts in Palm Beach County, Florida, and both parties agree to those courts. Each party brings claims only on its own behalf, not as part of a class or group action, and both parties give up the right to a jury trial, to the extent the law allows. Before filing a claim, each party will first try to settle it by email for 30 days.

20. Changes to these Terms

We may update these Terms. For important changes we'll email you or tell you in the app at least 30 days before they apply. If you keep using the Service after that, the new Terms apply. If you don't agree, cancel before they take effect.

21. Everything else

These Terms, the Privacy Policy and the Acceptable Use Policy are the whole agreement about the Service. If one part can't be enforced, the rest still applies. Not enforcing a right isn't giving it up. You can't transfer these Terms without our consent, except to someone who takes over your business; we may transfer them in a merger or sale. Neither party is responsible for delays caused by events outside its reasonable control. Notices to us go to [email protected] and 1020 West Heritage Club Circle, Delray Beach, FL 33483; notices to you go to your account email.
